Corporate

The firm routinely provides advisory counseling and drafting of all needed business formation agreements, incorporation documents, employment/restrictive covenant contracts, partnership plans, LLC operating agreements, corporate resolutions, registered agent and other services for many local and out of state corporate clientele.

We also provide general assistance to a number of businesses, large and small, for support of their day-to-day operations often in lieu of the client having to maintain on staff in-house corporate counsel at substantial costs savings.  Often on retainer or project-by-project basis, we provide hands-on resources for management of both long-range and immediate corporate planning needs, act as an interface with our clients' tax or other financial advisors and provide advice on commercial property/liability insurance coverage issues, risk preventive measures, customer/vendor relationships, accounts receivable problems, guidance for marketing documents, prepare employee agreements, contract biddings as well as review and preparation of any needed buy/sell agreements, asset purchase arrangements, and other business management needs. The firm has particular experience in drafting of computer technology user agreements, independent contractor-consultancy documents and services contracts.

Ever-mindful of the increasingly litigious world we live in, and having expertise in litigation as well, we strive for providing sound, lawsuit-preventive concepts for drafting of commercial transactions but, should the need arise, are prepared to represent our business clients in any litigation or alternate forms of dispute resolution as well.  Our corporate clients run the gamut from small health care partnerships and family-run LLC's to public and privately held multi-national corporations.
